General conditions of purchase
All purchases are subject to these general terms and conditions of purchase. Deviating provisions, in particular the seller's terms and conditions of sale, shall only become part of the contract if this has been expressly agreed in writing.
1. offers
Offers of the seller are valid for at least 4 weeks.
2. documents
All documents of the seller contain our order number, document number and item number.
3. prices
The stated prices of the seller are maximum prices including all charges (e.g. costs for customs clearance). If a price reduction is possible on the day of delivery due to decreased raw material or transport costs, this will be taken into account without request when issuing the invoice. A price increase is inadmissible.
4. payment
Payments are made within 14 days with 3% discount or 30 days net after receipt of a proper invoice.
Deliveries are made free to the delivery address stated in the order. Deliveries must generally be made 24 hours before arrival, stating the actual delivery quantity to avis@prodinger.ch to notify. The advice includes: Our order number(s), our article number(s), the actual quantity delivered (number of pieces). Deliveries not advised will only be accepted with a charge of Fr./€ 250.-- plus VAT. The delivery dates are to be considered as binding arrival at the delivery address. Delays in delivery will be communicated immediately. Any claims for damages due to delays in delivery remain reserved.
6. warranty
Der Verkäufer gewährt auf seine Produkte 24 Monate Garantie. Mengenabweichungen dürfen 10% nicht überschreiten. Wir behalten uns vor die Rechnung des Verkäufers um die Anzahl der überlieferten Menge zu kürzen. Offene Mängel zeigen wir innerhalb 14 Tagen an, versteckte Mängel sobald wir diese entdecken. Der Verkäufer liefert an uns ausschliesslich Produkte die allen aktuellen und rechtlichen Anforderungen, Gesetzen und Bestimmungen entsprechen (REACH, RoHS, CE, Conflict Minerals, etc.). Uns steht es frei mangelhafte Ware auf Kosten und Gefahr des Verkäufers zurück zu senden und auf die Lieferung von einwandfreiem Ersatz zu bestehen. Die Forderung von Schadenersatz behalten wir uns vor.
7. benefit and risk
The seller assumes the benefit and risk until handover. We are SLVS waiver customer.
8. tools and clichés
Tools and printing plates remain our property. The destruction of tools or printing plates on the part of the seller is not permitted without our written consent.
9. direct deliveries
Direct deliveries from the seller to our customers are strictly neutral with the delivery bill provided by us.
10. packing
The Seller shall ship its goods uninsured and in packaging that is appropriate for the product, suitable for transport and storage, and clean. For palletized goods, high-shelf pallets shall be used. The height of the pallets shall not exceed 180 cm and a weight of 500 kg, unless expressly stated otherwise.
11 Place of performance, place of jurisdiction and applicable law
All legal relationships existing between the seller and the buyer are subject to Swiss law. The place of performance and jurisdiction is Liestal, Canton BL. Deviations from these general terms and conditions of purchase must be made in writing.
